Next Shell – Terms of Service
Effective Date: 5 June 2025
Welcome to Next Shell, a one-time-fee Next.js starter kit operated by Wust, LLC (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Service (defined below). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- “Service” means the hosted software solution, website, documentation and any related services branded “Next Shell.”
- “You” / “your” means the individual or legal entity that accesses or uses the Service.
2. Eligibility
You must (a) be at least 18 years old—or the age of majority where you live—and (b) have legal capacity to form a binding contract. By using the Service, you represent and warrant that you satisfy these requirements.
3. Account Registration & Security
- Accurate Information. You must provide truthful, complete information when creating an account and keep it up to date.
- Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- Notice of Breach. Notify us immediately at [email protected] if you suspect unauthorised access or any other security breach.
4. Fees, Payment & Refunds
- One-Time Licence Fee. Access to the Service is granted after a single upfront payment per account (plus any applicable taxes) at the price shown at checkout. No recurring or subscription fees apply.
- Payment Processing. Payments are processed by Stripe, Inc.. Your payment information is handled pursuant to Stripe’s terms and privacy notice.
- 14-Day Money-Back Guarantee. You may cancel for any reason and receive a full refund within 14 days of purchase. EU/UK consumers retain their statutory 14-day “right of withdrawal.” To request a refund, email [email protected] from the address associated with your account.
5. Licence Grant
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes. All rights not expressly granted are reserved by the Company.
6. Intellectual Property
The Service and all related content, features and functionality are owned by the Company or its licensors and are protected by intellectual-property laws. You may not copy, modify, distribute, sell, lease, reverse-engineer or create derivative works from any part of the Service, except as expressly permitted by law.
7. Acceptable Use
You agree not to:
- Violate any applicable law, regulation or third-party right;
- Upload or transmit malicious code, unsolicited bulk messages, or content that is unlawful, hateful, or otherwise objectionable;
- Attempt to gain unauthorised access to, interfere with, or disrupt the integrity or performance of the Service or its data;
- Use any automated means (e.g., bots, scrapers) to access the Service in a manner that sends more requests than a human can reasonably produce.
8. Availability, Support & Updates
- Uptime Objective. We target 99 % monthly uptime but provide no guaranteed service-level agreement.
- Planned Maintenance. When feasible, we will announce maintenance at least 24 hours in advance.
- Support. Email support is available at [email protected] (English only). We aim to respond within two business days.
- Updates. We may implement updates, bug fixes or enhancements at our discretion; such updates form part of the Service and are subject to these Terms.
9. Termination & Suspension
- By You. You may stop using the Service at any time; no refund is due outside the period described in §4.3.
- By Us. We may suspend or terminate your access if (i) you materially breach these Terms and fail to cure within 10 days after notice, (ii) we are required to do so by law, or (iii) your use poses a security risk or could cause harm to us, the Service, or other users.
- Effect of Termination. Upon termination, your licence ends and you must cease all use of the Service.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ONE-TIME LICENCE. IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA.
Some jurisdictions do not allow certain limitations of liability; in such cases the above limitation will apply to the fullest extent permitted.
12. Indemnification
You will defend, indemnify and hold harmless the Company, its affiliates, directors, officers and employees from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Service, or (b) your breach of these Terms.
13. Governing Law & Dispute Resolution
These Terms and any dispute arising hereunder are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws principles. The courts located in Delaware shall have exclusive jurisdiction, unless consumer-protection laws in your jurisdiction mandate otherwise.
14. Changes to These Terms
We may modify these Terms to reflect changes in law or the Service. If we make material changes, we will provide advance notice (e.g., by email or in-app message). Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Miscellaneous
- Entire Agreement. These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous agreements on the same subject.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver. Our failure to enforce any right or provision is not a waiver of future enforcement.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
